1. Service Description

Pequliar (“the Service”) is a computational tool that predicts antisense oligonucleotide (ASO) amenability for genetic variants and generates ASO design candidates.

The Service is not a medical device, pharmaceutical product, drug manufacturer, or healthcare provider. It does not prescribe or recommend any compound. All output is for research and informational purposes only. The Service has not been evaluated or approved by the FDA or any other regulatory authority. The Service does not claim therapeutic efficacy for any ASO sequence it generates.

2. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms of Service and the Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years of age to use the Service.

3. Payment and Billing

Paid features (ASO design reports) are billed at the rate displayed on the pricing page. All payments are processed by PayPal. PayPal handles payment processing and invoicing on behalf of Pequliar. By completing a purchase, you also agree to PayPal’s User Agreement. All sales are final; see our Refund Policy for details on recovery access codes in the event of a design failure.

4. Intellectual Property

The underlying models, algorithms, and software are the intellectual property of Pequliar. You retain full ownership of your input data (gene/variant queries) and of all ASO sequences and design reports generated by the Service for you. Pequliar does not claim any ownership, license, or rights over the sequences or reports produced for you.

5. No Clinical Use; Assumption of Risk

The Service is a computational prediction tool. It is not a medical device, diagnostic tool, or substitute for professional medical judgment. ASO candidates generated by the Service are computationally predicted sequences that have not been experimentally validated, clinically tested, or approved by any regulatory authority.

The Service does not diagnose any condition, does not recommend any course of treatment, and does not guarantee or warrant any particular research result or therapeutic outcome. No information provided by the Service constitutes medical advice, a drug prescription, or a claim of therapeutic efficacy.

You expressly acknowledge and assume all risk associated with using the output of the Service, including but not limited to risks arising from computational prediction errors, incomplete off-target screening, uncharacterized biological effects, and any downstream synthesis, testing, regulatory filing, or therapeutic application of ASO sequences generated by the Service. You are solely responsible for all decisions, actions, and outcomes related to the use of Service output.

6. Downstream Use and Regulatory Compliance

The Service provides computational sequence analysis as information. Any decision to synthesize, test, file regulatory applications for, or administer any ASO sequence generated by the Service is made entirely by you and/or your qualified scientific, medical, and regulatory professionals.

You are solely responsible for: (a) obtaining all necessary regulatory approvals, authorizations, and clearances before any clinical or therapeutic use of Service output; (b) compliance with all applicable laws, regulations, and industry standards, including but not limited to FDA, EMA, TGA, and any other applicable regulatory requirements; (c) conducting all necessary experimental validation, safety testing, and quality verification; and (d) obtaining appropriate informed consent from any individual who may receive a therapy based on Service output.

The inclusion of regulatory pathway information, synthesis vendor lists, or cost estimates in the Service output is provided as general reference information compiled from published sources. It does not constitute regulatory advice, and it does not create any obligation or liability on the part of the Service for downstream regulatory outcomes.

7. Professional Review

The Service applies computational models trained on published scientific data to generate ASO design candidates. As with any computational tool in the life sciences, output should be reviewed and validated by qualified scientific and medical professionals as part of any downstream research or clinical workflow. The Service is designed to be one component of a broader professional decision-making process, not a replacement for independent scientific judgment.

8. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties or conditions of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, accuracy, correctness, completeness, title, and non-infringement.

Pequliar does not warrant that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the Service will be accurate, complete, or reliable; (d) any ASO sequence generated by the Service will be effective, safe, or suitable for any purpose; or (e) off-target screening or quality analysis will identify all potential risks.

No advice or information, whether oral or written, obtained from the Service shall create any warranty not expressly stated in these Terms and shall not be relied upon as medical, scientific, or regulatory advice.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Pequliar shall not be liable for any direct, indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or related to: (a) your use of, or inability to use, the Service; (b) any action you take or decision you make based on information or output from the Service; (c) any synthesis, testing, regulatory filing, or therapeutic application of ASO sequences generated by the Service; (d) any treatment or healthcare decisions made based on Service output; or (e) any unauthorized access to or alteration of your data.

The total aggregate liability of Pequliar for any claim arising out of or related to these Terms or the Service shall not exceed the amount you paid for the specific design that gave rise to the claim.

This limitation of liability applies regardless of the theory of liability, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal or equitable theory, even if Pequliar has been advised of the possibility of such damages.

10. Indemnification

You agree to defend, indemnify, and hold harmless Pequliar and its affiliates, officers, agents, contractors, and employees from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your downstream use of Service output, including any synthesis, testing, or therapeutic application of ASO sequences you choose to pursue based on the Service; (b) your violation of these Terms; or (c) your violation of any applicable law, regulation, or third-party right.

11. Termination

Pequliar reserves the right to suspend or terminate access to the Service at any time for any reason, including violation of these Terms.

12. Changes to Terms

These Terms may be updated from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms.
